BENGALURU | 31 August 2026: Executing one of the most significant consolidations in the mid-tier Indian IT services sector, ITC Infotech the wholly owned technology subsidiary of conglomerate ITC Limited has initiated a blockbuster acquisition and merger process with Bengaluru-based Happiest Minds Technologies. The transaction will commence with ITC Infotech acquiring a 22.1% promoter stake for approximately ₹1,330 crore. However, this cash buyout is merely the precursor to a complete amalgamation of the two entities, a structural masterstroke designed to result in the direct public listing of ITC Infotech and the creation of a massive AI-led enterprise.
Targeting an aggressive $1 billion annual revenue run-rate by FY28, the combined entity will pool over 19,000 technology professionals across the globe, fundamentally altering the competitive landscape of India’s digital engineering market

- Direct Exchange Listing: Bypassing a traditional IPO route, the amalgamated entity will list directly on the BSE and NSE, resulting in parent conglomerate ITC Limited holding a 73.4% promoter stake and public/Happiest Minds shareholders retaining the remaining 6%.
