NEW YORK & NOIDA | 18 July 2026: Guardian Life Insurance Company of America (Guardian) has entered into a strategic agreement with HCLTech under which HCLTech will acquire Guardian India Operations, the company’s captive GCC, and establish a dedicated Strategic Business Unit to support Guardian’s long-term technology, AI and digital transformation agenda, for $10.5 million in an all-cash deal.
This strategic carve-out transfers nearly 2,000 specialized technologists into a dedicated Strategic Business Unit (SBU) exclusively committed to Guardian’s digital agenda. Guardian is leveraging this strategic pivot for operating model flexibility, providing instant access to enterprise-grade AI infrastructure, cloud engineering, and high-velocity product development bandwidth.
KEY HIGHLIGHTS
- Strategic Acquisition: The strategic partner acquires full equity in Guardian India Operations, a highly mature GCC that reported unaudited revenues of ₹578.8 crore in FY26, up from ₹483.2 crore in the previous fiscal year.
- The Capital Outlay: The acquisition is locked at a $10.5 million (approx. ₹101 crore) enterprise value, structured as an all-cash deal expected to close by August 1, 2026.
- Talent Migration & Leadership: Approximately 2,000 specialized professionals will transition to HCLTech. To ensure frictionless operational continuity, Karunakaran Azhisur, the current Country Head of Guardian India, will lead the newly formed dedicated SBU.
- The Seven-Year Mandate: The acquisition acts as the bedrock for a fresh, seven-year technology services agreement heavily indexed on scaling artificial intelligence, cloud architecture, and product engineering
